Hold Harmless, Release
& Liability Waiver Agreement

For purposes of this Agreement, the following definitions apply:

• "Give & Go" — Give & Go, its parent company, subsidiaries, affiliated companies, successors, assigns, officers, directors, owners, shareholders, members, managers, employees, contractors, agents, legal representatives, and any person or entity acting on behalf of Give & Go in any capacity whatsoever.
• "Beneficiary Organization" — any nonprofit, pre-nonprofit, booster club, community group, athletic organization, civic club, religious organization, foundation, school, or any other entity or individual that has registered with Give & Go as a campaign beneficiary.
• "Entrant" — any person who enters any Give & Go sweepstakes campaign by any method, including but not limited to purchase entry, mail-in entry, or complimentary entry.
• "Winner" — any Entrant selected as the prize recipient in any Give & Go campaign drawing.
• "Participant" — collectively, all Beneficiary Organizations, Entrants, Winners, guests of Winners, and any person participating in any aspect of any Give & Go campaign or prize.
• "Prize" — the vacation package and any associated cash tax assistance awarded to a Winner, including all travel, accommodations, food, beverage, activities, and related experiences.
• "Resort" — Palace Resorts and any of its affiliated properties, brands, and locations including but not limited to Moon Palace, Le Blanc Spa Resorts, Cozumel Palace, Playacar Palace, Moon Palace Jamaica, Beach Palace, Sun Palace, and any other Palace Resorts property.
• "Travel" — all transportation to, from, and between any destination associated with the prize, including but not limited to air travel, ground transportation, water transportation, and any other mode of conveyance.

Each Participant expressly acknowledges, understands, and agrees that participation in the Give & Go sweepstakes and acceptance and use of any prize involves inherent risks, dangers, and hazards, many of which cannot be foreseen or eliminated. By participating, each Participant knowingly and voluntarily assumes full and complete responsibility for all such risks.

Participants acknowledge that the prize involves international travel to foreign countries including but not limited to Mexico, Jamaica, the Dominican Republic, and the Maldives, and that such travel carries additional risks beyond those associated with domestic travel, including but not limited to:

• Differing standards of safety, sanitation, medical care, and infrastructure
• Language barriers and limited access to emergency services
• Foreign laws, customs, and legal systems that may differ significantly from those of the Participant's home country
• Political instability, civil unrest, and local social conditions
• Criminal activity including theft, fraud, assault, kidnapping, and gang-related violence in surrounding areas
• Environmental hazards including extreme heat, humidity, tropical weather, and natural disasters
• Food and waterborne illness, insect-borne disease, and exposure to unfamiliar pathogens

In consideration of being permitted to participate in any Give & Go sweepstakes campaign and/or accept any prize, each Participant, on behalf of themselves and their heirs, executors, administrators, legal representatives, successors, and assigns, hereby irrevocably and unconditionally RELEASES, WAIVES, DISCHARGES, and COVENANTS NOT TO SUE Give & Go from any and all liability, claims, demands, actions, causes of action, losses, damages, costs, and expenses of any nature whatsoever, whether known or unknown, foreseen or unforeseen, existing or arising in the future, arising out of or relating in any way to:

• Participation in any Give & Go sweepstakes campaign in any capacity
• The acceptance, receipt, possession, use, or misuse of any prize
• Travel to, from, or between any prize destination
• Stay at any resort, hotel, or accommodation associated with the prize
• Participation in any activity, excursion, or experience during or in connection with the prize
• Any act, omission, negligence, or fault of Give & Go, whether active or passive
• The conduct of any Resort, airline, transportation provider, tour operator, or third party
• Any condition of the prize destination, resort facilities, or surrounding areas

Give & Go expressly disclaims all liability for the following travel and resort-related risks, and all Participants assume full responsibility for these risks:

• Flight delays, cancellations, and misconnections — including missed connections, involuntary denied boarding, and lost or damaged baggage
• Airline accidents, incidents, and emergencies — including turbulence, emergency landings, and any other aviation-related events
• Ground transportation accidents — including taxi, rideshare, shuttle, bus, and any other vehicle accidents
• Resort property conditions — including wet floors, uneven surfaces, pools, water features, staircases, elevators, furniture, and all other physical conditions of the resort property
• Food and beverage safety — including foodborne illness, allergic reactions, alcohol-related incidents, and reactions to unfamiliar foods or ingredients
• Water and pool safety — including drowning, near-drowning, pool chemical reactions, waterpark rides and slides, and beach conditions
• Sun and heat exposure — including sunburn, heat stroke, dehydration, and all conditions related to tropical climate exposure
• Resort construction or renovation — including noise, dust, restricted access, and any conditions related to ongoing construction at the property
• Wildlife and insects — including bites, stings, infections, and all encounters with local fauna
• Loss or theft of personal property — including passports, currency, electronics, jewelry, and all personal belongings at the resort or in transit

Give & Go is not a travel agency, tour operator, airline, or resort. Give & Go makes no representations regarding the quality, safety, or condition of any resort, airline, or transportation service associated with the prize.

Give & Go shall have absolutely no liability whatsoever for any physical injury, bodily harm, permanent disability, or death arising from or in connection with any Give & Go sweepstakes campaign or prize, including but not limited to:

• Injury or death occurring during travel to or from the prize destination, including airline accidents, vehicle accidents, and all transportation-related incidents
• Injury or death occurring at the resort or hotel property, including slip and fall accidents, pool and water facility accidents, sports and recreational facility accidents, and spa and treatment facility accidents
• Injury or death occurring during any off-site excursion, tour, activity, or adventure undertaken in connection with the prize trip
• Injury or death resulting from participation in any water sports including swimming, snorkeling, scuba diving, jet skiing, parasailing, surfing, kayaking, paddleboarding, or any other water-based activity
• Injury or death resulting from participation in any land-based activities including zip-lining, ATV riding, horseback riding, hiking, rock climbing, cycling, or any other adventure activity
• Injury or death resulting from alcohol consumption at the resort or in the surrounding area
• Injury or death resulting from criminal acts by third parties including robbery, assault, battery, sexual assault, kidnapping, or any other criminal conduct
• Injury or death resulting from gang activity, civil unrest, riots, or other organized criminal or political violence in or around the resort destination
• Injury or death resulting from terrorism, war, military action, or civil disturbance
• Injury or death resulting from natural disasters including hurricanes, earthquakes, tsunamis, flooding, or other natural events
• Injury or death resulting from medical emergencies, pre-existing conditions, or inadequate medical care at the destination
• Injury or death of any guest or travel companion accompanying the Winner

Give & Go assumes no liability whatsoever for any illness, disease, medical condition, or health-related event arising from or in connection with participation in any Give & Go campaign or acceptance of any prize, including but not limited to:

• Foodborne illness and gastrointestinal conditions — including traveler's diarrhea, food poisoning, Montezuma's Revenge, and all stomach and digestive illnesses related to food or water consumption abroad
• Waterborne illness — including illness from resort pool water, ocean water, tap water, ice, or any other water source at the destination
• Vector-borne disease — including Zika virus, dengue fever, malaria, chikungunya, West Nile virus, and all other diseases transmitted by mosquitoes, ticks, or other insects
• Sexually transmitted infections — including all infections arising from consensual or non-consensual sexual contact during the prize trip
• Respiratory illness — including COVID-19, influenza, and all other airborne or droplet-transmitted illnesses contracted during travel or at the resort
• Allergic reactions — including reactions to food, insects, plants, medications, or any other allergen encountered at the destination
• Pre-existing medical conditions — including any exacerbation of a pre-existing condition triggered by travel, climate, food, altitude, activity, or any other factor
• Mental health conditions — including anxiety, panic disorders, depression, and any psychological condition triggered or worsened by travel
• Pregnancy-related complications — including any complications arising from travel during pregnancy
• Drug or alcohol-related illness — including all health consequences related to alcohol consumption or drug use at the destination
• Medical emergency costs — including all costs of emergency medical treatment, hospitalization, surgery, medication, and medical evacuation at the destination

Give & Go strongly recommends that all Winners and travel companions consult their physician before travel, obtain all recommended vaccinations, and purchase comprehensive travel health insurance including emergency medical evacuation coverage.

Give & Go assumes absolutely no liability for any injury, illness, loss, damage, or death occurring in connection with any activity, excursion, tour, or off-property adventure undertaken by the Winner or their guests during the prize trip, including but not limited to:

• All water sports and aquatic activities including snorkeling, scuba diving, jet skiing, parasailing, kite surfing, deep-sea fishing, whale watching, submarine tours, and swimming with marine life
• All zip-line, aerial, and canopy tour activities
• ATV, dune buggy, and off-road vehicle tours
• Horseback riding and equestrian activities
• Hiking, trekking, mountain biking, and trail activities
• Archaeological site tours including ruins such as Chichen Itza, Tulum, Coba, and other Mayan sites
• Cenote swimming and cave diving
• Nightlife activities including bars, nightclubs, casinos, and entertainment venues in the surrounding area
• Shopping excursions and local market visits
• Transportation to and from off-property activities in local or third-party vehicles
• Any activity booked through the resort, a third-party operator, or independently by the Winner
• Any activity not specifically included in the all-inclusive prize package

Give & Go assumes no responsibility or liability for any criminal act, security incident, or harm caused by third parties during or in connection with any prize trip, including but not limited to:

• Theft and robbery — including pickpocketing, armed robbery, carjacking, and theft of personal property at the resort, in transit, or in surrounding areas
• Assault and battery — including unprovoked attacks, altercations, and physical assaults by unknown third parties or other guests
• Sexual assault and harassment — including all forms of sexual misconduct by resort staff, other guests, local vendors, or any third party
• Fraud and scams — including timeshare scams, taxi fraud, currency exchange fraud, and all other deceptive schemes targeting tourists
• Drug-facilitated crimes — including incidents resulting from food or drink being drugged without the Winner's knowledge or consent
• Gang activity and cartel violence — including all criminal activity by organized crime groups, drug trafficking organizations, and criminal gangs operating in or around any prize destination, including but not limited to the areas surrounding Cancún, Playa del Carmen, Los Cabos, and other Mexican resort destinations
• Kidnapping and extortion — including express kidnapping, ransom demands, and all forms of unlawful detention
• Civil unrest and political instability — including protests, riots, strikes, and all forms of civil disorder
• Terrorism and political violence — including all acts of terrorism, guerrilla activity, and politically motivated violence
• Resort staff misconduct — including any harmful, negligent, or criminal act by any employee or contractor of any Palace Resorts property
• Other guests' conduct — including injury, harm, or offense caused by other resort guests

Winners acknowledge that certain prize destinations, including parts of Mexico, have been the subject of US Department of State travel advisories and that travel to these destinations carries elevated risk. Winners travel to all prize destinations entirely at their own risk and discretion.

Give & Go assumes no liability for any loss of or damage to personal property, or any financial loss, arising from or in connection with any Give & Go campaign or prize, including but not limited to:

• Loss, theft, or damage to passports, travel documents, and identification
• Loss, theft, or damage to currency, credit cards, and financial instruments
• Loss, theft, or damage to electronics, cameras, jewelry, clothing, and luggage
• Costs incurred due to flight cancellation, missed connections, or travel delays
• Costs incurred for emergency medical treatment, evacuation, or repatriation
• Costs incurred due to natural disaster, civil unrest, or government action requiring evacuation
• Financial losses resulting from scams, fraud, or deceptive practices by third parties
• Any incidental, consequential, or special damages arising from participation in any Give & Go campaign or use of any prize
• Loss of income, business opportunity, or economic benefit resulting from participation in any Give & Go campaign
• Emotional distress, psychological harm, or mental anguish arising from any experience during the prize trip

Give & Go shall have no liability whatsoever for any failure to perform, delay in performance, modification, cancellation, or interruption of any campaign or prize resulting from any cause beyond Give & Go's reasonable control, including but not limited to:

• Acts of God including hurricanes, tropical storms, earthquakes, tsunamis, volcanic eruptions, floods, wildfires, and other natural disasters or extreme weather events
• Pandemic, epidemic, or public health emergency declared by any governmental or international health authority
• Acts of war, terrorism, military action, civil war, insurrection, or riot
• Government action including travel bans, border closures, quarantine orders, resort closures, and any other governmental restriction on travel or resort operations
• Labor disputes, strikes, and work stoppages affecting airlines, resorts, or transportation providers
• Resort closure, damage, or destruction due to any cause
• Airline or transportation failure, cancellation, or suspension of service
• Cyberattack, data breach, or technology failure affecting Give & Go's systems or operations
• Any other event beyond Give & Go's reasonable control that prevents or materially impairs the delivery of any prize

In the event of a force majeure, Give & Go may in its sole discretion substitute an alternative prize of comparable value, reschedule the campaign, or if a prize cannot reasonably be fulfilled, offer a refund of entry fees to all Participants. No other compensation or damages shall be owed to any Participant in connection with a force majeure event.

In addition to all other waivers and releases in this Agreement, each Beneficiary Organization specifically agrees to the following:

• The Beneficiary Organization acknowledges that it is a fundraising beneficiary only and has no operational role in the Give & Go sweepstakes, no control over prize delivery, no responsibility for winner selection, and no liability to entrants or winners in connection with any campaign.
• The Beneficiary Organization waives all claims against Give & Go for any shortfall in fundraising proceeds, regardless of whether a minimum ticket threshold is not met, a campaign is cancelled or modified, or proceeds are lower than projected or anticipated.
• The Beneficiary Organization waives all claims against Give & Go for any reputational harm, donor relationship damage, or loss of goodwill arising from any aspect of any Give & Go campaign, including but not limited to winner disputes, prize delivery issues, or campaign cancellation.
• The Beneficiary Organization acknowledges that entry fees paid by its supporters are payments to Give & Go for sweepstakes participation, not charitable donations, and agrees not to misrepresent the nature of entry fees to its donors or supporters.
• The Beneficiary Organization acknowledges that it has independently verified its eligibility to participate as a Give & Go beneficiary and that Give & Go's verification process does not constitute a legal opinion regarding the Beneficiary Organization's tax-exempt status or compliance with any applicable law.
• The Beneficiary Organization agrees to indemnify and hold harmless Give & Go from any claims by its members, donors, supporters, or any third party arising from the Beneficiary Organization's promotion or representation of any Give & Go campaign.

This covenant not to sue is in addition to and does not replace or limit the releases and waivers set forth elsewhere in this Agreement. The filing of any lawsuit in violation of this covenant shall entitle Give & Go to recover its full attorneys' fees, court costs, and all other expenses incurred in defending such action.

No Participant may bring any legal claim against Give & Go on behalf of any class, group, or collective of Participants. All claims, if any, must be brought solely on an individual basis in binding arbitration as set forth in Section 14.

Each Participant agrees to fully indemnify, defend, and hold harmless Give & Go, its owners, officers, directors, employees, agents, and affiliates from and against any and all third-party claims, demands, causes of action, losses, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

• The Participant's participation in any Give & Go campaign
• The Participant's acceptance or use of any prize
• Any breach of this Agreement by the Participant
• Any violation of any applicable law or regulation by the Participant
• Any negligent or wrongful act or omission by the Participant
• Any claim by a third party arising from the Participant's conduct during any prize-related travel or activity
• In the case of a Beneficiary Organization, any claim by its members, donors, or supporters arising from the Beneficiary Organization's representation of any Give & Go campaign

Any dispute, controversy, or claim arising out of or relating to this Agreement, any Give & Go campaign, or any prize that cannot be resolved informally shall be resolved exclusively through final, binding arbitration administered by a recognized arbitration organization in accordance with its then-current commercial arbitration rules. The arbitration shall take place in New Jersey, and the arbitrator's decision shall be final and binding on all parties.

The arbitrator shall have no authority to award punitive damages, consequential damages, or any other damages beyond the Participant's actual out-of-pocket entry fee paid to Give & Go in the specific campaign at issue. This limitation on damages is a material term of this Agreement.

Each party shall bear its own costs in arbitration unless the arbitrator finds that a claim was frivolous, in which case the party bringing the frivolous claim shall bear all costs including the other party's attorneys' fees.

Notwithstanding the foregoing, Give & Go may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm without waiving its right to arbitration on all other claims.

This Agreement shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to conflicts of law principles. Any dispute not subject to arbitration shall be resolved exclusively in the state or federal courts located in New Jersey, and each Participant consents to the personal jurisdiction of such courts.

If any provision of this Agreement is found to be invalid, unenforceable, or void by a court or arbitrator of competent jurisdiction, that provision shall be severed, and the remaining provisions shall remain in full force and effect. The invalidity of any single provision shall not affect the validity or enforceability of any other provision.

This Agreement, together with the Give & Go Official Sweepstakes Rules and any campaign-specific terms, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, representations, and understandings. Give & Go reserves the right to modify this Agreement at any time upon notice. Continued participation in any Give & Go campaign following notice of modification constitutes acceptance of the modified Agreement.

By accepting the prize and bringing any guest, travel companion, family member, friend, or any other individual (collectively "Guests") on the prize trip, the Winner expressly assumes full legal responsibility for all acts, omissions, injuries, illnesses, losses, and conduct of every Guest for the entire duration of the prize trip, including travel to and from the destination.

The Winner represents and warrants that each Guest has been informed of and agrees to the terms of this Agreement in full. The Winner agrees that each Guest's participation in the prize trip is subject to all of the same waivers, releases, covenants not to sue, and liability limitations that apply to the Winner under this Agreement.

This Guest liability assumption covers all activities, whether on-property or off-property, including but not limited to:

• All resort activities, amenities, pools, waterparks, and facilities
• All food and beverage consumption at the resort including alcohol
• All off-site excursions, tours, and activities booked by the Winner or any Guest
• All transportation to, from, and between the resort and any activity
• Any incident involving criminal activity, civil unrest, or local conditions affecting any Guest
• Any medical emergency, illness, or injury suffered by any Guest
• Any conduct by any Guest that causes harm to other guests, resort staff, or third parties
• Any loss or damage to any Guest's personal property

Give & Go strongly recommends that the Winner obtain comprehensive travel insurance coverage for all Guests prior to travel, including emergency medical, evacuation, and trip cancellation coverage.

Any Winner who brings a minor (any person under the age of 18) on the prize trip expressly acknowledges and agrees to the following:

• The Winner is the parent or legal guardian of each minor Guest, or has obtained the express written consent of the minor's parent or legal guardian prior to travel
• The Winner assumes sole and complete legal responsibility for the safety, conduct, supervision, and welfare of every minor Guest for the entire duration of the prize trip
• Give & Go has absolutely no duty of care, supervisory obligation, or liability with respect to any minor Guest at any time
• The Winner acknowledges that resort pools, waterparks, beaches, and all other amenities carry inherent risks for minors and that supervision of all minor Guests at all times is the Winner's exclusive responsibility
• The Winner acknowledges that off-property excursions including but not limited to ATV tours, zip-lines, boat activities, and archaeological site visits may be inappropriate or dangerous for minors and assumes full responsibility for any decision to bring a minor on any such activity

The Give & Go prize includes access to an unlimited premium open bar and complimentary alcoholic beverages as part of the all-inclusive resort package. Each Participant expressly acknowledges and agrees to the following:

• The consumption of alcohol is entirely voluntary and entirely at the Winner's and each Guest's own risk
• Give & Go has no control over the Winner's or any Guest's alcohol consumption and assumes no responsibility for any consequence arising from alcohol consumption during the prize trip
• Give & Go is not liable for any injury, accident, illness, death, criminal conduct, impaired judgment, or any other consequence arising from or related to alcohol consumption by the Winner or any Guest, whether at the resort, in transit, or at any off-property location
• The Winner accepts full personal responsibility for ensuring that all Guests consume alcohol responsibly and that no minor Guest is provided access to alcoholic beverages
• Any incident involving intoxication that results in injury to the Winner, any Guest, resort staff, or any third party is the sole legal and financial responsibility of the Winner
• Give & Go is not responsible for any costs, fines, legal fees, medical expenses, or other consequences arising from alcohol-related incidents during the prize trip

By accepting the prize and undertaking any prize-related travel, the Winner and each Guest self-certify the following:

• They are in adequate physical and mental health to undertake international travel to a tropical resort destination
• They have disclosed any relevant pre-existing medical conditions to their personal physician and have received clearance to travel
• They are aware that the prize destination is located in a foreign country where medical care standards, facilities, and response times may differ significantly from those in the United States
• They have obtained or have been advised regarding all recommended vaccinations and health precautions for travel to their selected destination
• They accept full personal responsibility for any exacerbation, complication, or new development of any pre-existing medical condition occurring during or as a result of prize-related travel

Give & Go is not liable for the cost of any medical treatment, hospitalization, surgery, medication, emergency evacuation, or repatriation of remains incurred by the Winner or any Guest during the prize trip, regardless of cause.

Each Participant expressly waives all claims against Give & Go for any emotional distress, psychological harm, mental anguish, trauma, anxiety, post-traumatic stress, or any other psychological or psychiatric condition or consequence arising from or in connection with:

• Any incident, accident, or emergency occurring during the prize trip
• Any criminal act, assault, robbery, or threatening situation encountered during travel or at the resort
• Any natural disaster, civil unrest, or emergency evacuation experienced during the prize trip
• Any illness, injury, or death of the Winner, any Guest, or any third party witnessed during the prize trip
• Any disappointment, dissatisfaction, or negative experience associated with the resort, the travel experience, or any aspect of the prize
• The process of participating in the sweepstakes, including not winning, prize forfeiture, or campaign cancellation
• Any communication from Give & Go, including winner notification, non-winner notification, or any other campaign communication

This waiver of emotional distress claims is intended to be comprehensive and to cover all present and future psychological consequences of participation in any Give & Go campaign or prize trip, whether or not such consequences were foreseeable at the time of entry.

Each Participant acknowledges and agrees to the following regarding social media activity and public statements in connection with any Give & Go campaign or prize:

• Give & Go is not responsible for any social media content posted by the Winner, any Guest, any Beneficiary Organization, or any third party in connection with any Give & Go campaign or prize trip
• Give & Go is not liable for any reputational harm, embarrassment, privacy violation, or other consequence arising from any social media post, photograph, video, or public statement made by the Winner or any Guest during or after the prize trip
• Give & Go is not responsible for any negative social media attention, public commentary, or media coverage arising from any incident occurring during the prize trip
• Winners and Guests agree not to post any false, defamatory, or misleading statements about Give & Go, Palace Resorts, or any associated party on any public platform
• Winners and Guests grant Give & Go the right to share, repost, or otherwise use any publicly posted social media content featuring Give & Go, the prize trip, or any Give & Go campaign for promotional purposes without additional compensation
• Beneficiary Organizations agree not to make any public statement, social media post, or media comment that misrepresents the nature of the Give & Go platform, the sweepstakes structure, or the revenue distribution model
